SKIN BARRIER SOLUTION AFFILIATE PROGRAMME AGREEMENT

Effective date: from sign up date

As an invited participant in the promotional Affiliate programme offered by Chloe Manlay (the "Programme Operator") at www.trueskinnutrition.com and any other sites offered by the company (the "website") you expressly agree to the terms of this Affiliate agreement.

NOTICE: Please read this agreement carefully. By participating in the Affiliate programme, you are agreeing to comply with and be legally bound by the terms and conditions of this contract. You also agree to follow the Privacy Policy and Terms of Use outlined and provided on the website.

If you do not agree to ALL of the terms of this agreement, please do not complete the application for the Affiliate programme.

Affiliates

Each Affiliate is an independent contractor of the Programme Operator and not an employee of the Programme Operator.

Nothing in this agreement is intended to create an employer-employee relationship between the Affiliate and the Programme Operator.

Affiliates must be:

18 years or older to participate
In good standing with the ASA (Advertising Standards Authority) and compliant with the CAP Code
In good standing with any payment plans with any programme offered by Chloe Manlay.

Confidentiality Agreement

The Affiliate agrees not to copy, alter, share, use, duplicate, distribute, or adapt any of the Programme Operator's confidential information which is not directly provided or approved by the Programme Operator, or any confidential information — disclosed or otherwise — that comes into its possession under or in relation to this agreement. Confidential information includes, but is not limited to, the following types of private information and other proprietary information of a similar nature regarding the Programme Operator's business: sales figures, software passwords, the Programme Operator's list size, list contents, ideas, stories, activities, curriculum, event format, presentation materials, presentation content, inventions, financial information, business plans, business processes, marketing plans, marketing strategies, marketing copy, financial projections, customer lists, customer financial information, personal information, sponsorship strategies, relationships with other vendors, media delivery concepts and systems, including but not limited to web-based delivery systems, technical data, software designs, drawings, specifications, models, source code, object code, documentation, diagrams, flow charts, and other similar information that is proprietary to and confidential to the Programme Operator.

The Affiliate shall not disclose the terms of this agreement to any third party other than to the Affiliate's employees and agents who (a) have a need to access such information and (b) agree in writing to comply with the confidentiality provisions of this agreement.

Affiliate Commission

The Programme Operator agrees to pay the Affiliate a commission of 15% of the sale price of Skin Barrier Solution for each new enrolment referred by the Affiliate. Where a client chooses a payment plan, the Affiliate will receive 15% of each monthly payment as it comes in.

Commissions are paid via Kajabi to the payment method stored in the Affiliate's Kajabi account (how you paid for SBS). Commissions are processed once a referred client has been in the programme for 30 days and remains in good standing.

Good standing means the referred client has adhered to the programme agreement — including on-time payments where a payment plan is in place.

The Programme Operator reserves the right to withhold commission where a referred client requests a refund or charge-back within the 30 day period.

Affiliate Tracking

After signing up for the Affiliate programme, the Affiliate will receive a unique Affiliate URL. When someone clicks through this URL, a cookie will be set in their browser with the Affiliate's ID. The cookie tracks referrals for 90 days from first click. In order to receive proper credit for sales, a person must purchase through the Affiliate's unique URL within this 90 day window.

Where a referral cannot be tracked via cookie — for example where a browser cookie has expired — the Programme Operator will make reasonable efforts to attribute the referral manually, including by asking new students at the point of enrolment whether they were referred by an existing student.

Affiliate Disclosure

Affiliates are required to clearly and conspicuously disclose their affiliate relationship whenever sharing their affiliate link. An appropriate disclosure would read: "This is an affiliate link — if you choose to enrol in Skin Barrier Solution, I will receive a commission from your purchase."

This is a requirement of the ASA and CAP Code and is the Affiliate's sole responsibility to comply with.

Termination

An Affiliate may terminate this agreement at any time, and for any reason, by emailing the Programme Operator at hello@trueskinnutrition.com. The Affiliate may not transfer this agreement, or any rights conveyed in this agreement, to any third party.

The Programme Operator may also terminate this agreement at any time, and for any reason, by writing to the Affiliate at the email address listed in the Affiliate's profile, with 30 days' notice. However, if this agreement should terminate due to violation of this agreement or the Terms and Conditions, it shall terminate immediately and the Affiliate shall forfeit all right to any commissions then due.

Rights To Modify Agreement

The Programme Operator may modify any part of this agreement at any time and at its sole discretion, by posting a change notice or a new agreement in the Affiliate portal. These changes will come into force immediately upon posting. The Affiliate's continued participation in the Affiliate programme following the posting of a change notice shall constitute acceptance of the change. If any modification is not acceptable to the Affiliate, the Affiliate's only recourse is to terminate this agreement.

No Misuse

Affiliates shall not attempt to manipulate the affiliate system in any way in order to increase payments due. If such misuse is detected, the Affiliate will be immediately terminated and any commissions due will be withheld. Affiliates agree to refrain from engaging in any hostile activity toward the system, including but not limited to hacking. Any individual who engages in such activity shall be held liable for any loss sustained by the Programme Operator as a result.

Warranties

The Programme Operator makes no warranty or guarantee of any kind with respect to the reliability, stability, or continuity of the affiliate tracking system. The Programme Operator is not responsible for any loss or damage incurred directly or indirectly due to system malfunction, periods of downtime, loss of data, or discontinuation of service.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of UK.

Electronic Communications

The Programme Operator requires the Affiliate's primary email address to be listed in their Affiliate profile. By participating in the Affiliate programme, the Affiliate consents to receiving electronic communications from the Programme Operator in connection with the programme.
